What is the difference between business advisory and management consulting?

Consulting is project-based problem solving against a defined scope — you hire a firm to produce a deliverable and move on. Business advisory is an ongoing commercial relationship where we sit alongside owners and executives over years, helping with strategy, structure, capital decisions and transactions as the business evolves. We work advisory-style, not project-consulting style.

How does your advisory work alongside our accountant and lawyer?

We are commercial advisers, not tax agents or solicitors. Our role is to shape the strategic and commercial outcome, then coordinate with your existing tax and legal advisers so they can execute on their respective domains. Most of our engagements involve three-way conversations with your accountant and lawyer to make sure structures are both commercially fit for purpose and technically executable.

Why Singapore and the UAE for international structuring?

Singapore offers a stable common-law environment, a reliable corporate regulator, established treaty networks, and strong banking infrastructure — it is the default hub for Australian businesses expanding into Asia. The UAE (typically Dubai or Abu Dhabi free zones) provides access to Middle East, African and South Asian markets with a modern regulatory framework. Which jurisdiction fits depends on where your customers, capital and operational centre of gravity sit — we make that call with you, not for you.

When does a business actually need corporate restructuring?

Common triggers include bringing on external investment, preparing for a sale or succession, entering a new international market, separating operating risk from IP or property, or cleaning up a group that has grown organically into something messy. If your current structure was designed when the business was a third of its size, it is usually worth a review.

How do you charge for business advisory engagements?

Most advisory engagements run as a fixed monthly retainer scoped to the work required, typically $5,000 to $15,000 per month for ongoing advisory relationships. Discrete pieces of work — a structuring exercise, a capital raise, a transaction readiness review — are quoted as fixed-price engagements. We do not bill by the hour and we do not take success fees on transactions.

What does transaction readiness involve?

Getting a business ready for an investment round, trade sale or restructure means the commercials, governance, financial records, contracts and corporate structure all need to stand up to a buyer or investor's due diligence. We run a pre-diligence review, identify and fix the weak spots, prepare the information memorandum or investor pack, and coach the founder team through the process. Work typically starts 6 to 12 months before a targeted transaction window.

Do you work with early-stage businesses or only established ones?

Both, but the work is different. For established businesses we focus on growth strategy, restructuring, international expansion and transactions. For earlier-stage ventures we typically help with commercial structuring, funding pathways and getting the business investable. We do not take equity in lieu of fees and we do not act as an incubator — we are a paid strategic adviser.

Are you based in Darwin, and do you work with clients interstate and offshore?

Our head office is in Darwin and we work Australia-wide with clients in Sydney, Melbourne, Brisbane, Perth and Adelaide, plus ongoing cross-border engagements into Singapore, the UAE and broader Asia. Most discovery and advisory work runs remotely with periodic on-site workshops when they add value.
